By downloading, installing, accessing, or using the My Play Palz mobile application ("App") or website ("Service"), you agree to be bound by these Terms of Service and all applicable laws and regulations. These Terms constitute a legally binding agreement between you and My Play Palz, LLC ("Company," "we," "us," or "our").

If you are using the Service on behalf of a minor child, you represent that you are the parent or legal guardian of such child and have the authority to agree to these Terms on their behalf.

We may modify these Terms at any time by posting revised Terms on our website. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

My Play Palz is a social networking platform designed to help parents connect with other families in their local area to arrange playdates and social activities for their children. Our Service includes:

• Profile creation and management tools
• Search and discovery features to find compatible families
• Messaging and communication tools
• Event creation and management capabilities
• Safety and verification features (for premium subscribers)
• AI-powered matching and scheduling assistance (for premium subscribers)

The Service is intended solely for personal, non-commercial use. Commercial use of the platform is strictly prohibited without our express written consent.

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary to maintain its accuracy.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.

3.3 Age Requirements

The Service is intended for use by adults (18 years or older) who are parents or legal guardians. By using the Service, you represent that you meet this age requirement and have parental authority over any children referenced in your profile.

3.4 One Account Per Person

Each user may maintain only one account. Creating multiple accounts or allowing others to use your account is prohibited.

You agree not to use the Service to:

• Violate any local, state, national, or international law or regulation
• Harass, threaten, intimidate, or harm other users or their children
• Post or transmit content that is unlawful, harmful, threatening, abusive, defamatory, vulgar, or obscene
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Upload false, misleading, or inaccurate information
• Distribute spam, unsolicited communications, or commercial content
• Attempt to gain unauthorized access to other users' accounts or our systems
• Use automated scripts, bots, or other automated means to access the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Collect or harvest personal information about other users without consent
• Use the Service for any commercial purpose without our express written permission
• Post content that infringes on intellectual property rights
• Engage in any form of discrimination based on race, religion, gender, sexual orientation, or other protected characteristics

5.1 User Content

You retain ownership of content you post to the Service ("User Content"). However, by posting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, distribute, and display such content in connection with operating and improving the Service.

5.2 Content Standards

All User Content must comply with our Community Guidelines and these Terms. You are solely responsible for your User Content and the consequences of posting it. We reserve the right to remove any content that violates these Terms or our Community Guidelines.

5.3 Our Intellectual Property

The Service and its original content, features, and functionality are owned by My Play Palz, LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.4 DMCA Policy

We respond to valid takedown notices under the Digital Millennium Copyright Act. If you believe content on our Service infringes your copyright, please contact us at legal@myplaypalz.com with detailed information about the alleged infringement.

6.1 Free and Paid Services

We offer both free and paid subscription plans. Free features include basic profile creation, messaging, and event viewing. Paid subscriptions include additional features such as advanced verification, background checks, and AI assistance.

6.2 Billing and Payment

Subscription fees are charged through your app store account (Apple App Store or Google Play Store). Billing occurs at the beginning of each subscription period. You authorize us to charge the payment method associated with your app store account.

6.3 Cancellation and Refunds

You may cancel your subscription at any time through your app store account settings. Cancellation will take effect at the end of your current billing period. Refunds are handled according to the app store's refund policy. We do not provide direct refunds for subscriptions purchased through app stores.

6.4 Price Changes

We reserve the right to modify subscription prices. Price changes will not affect your current subscription period but will apply to subsequent renewals. We will provide reasonable notice of price changes.

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

We implement appropriate security measures to protect your personal information, but no method of transmission over the internet or electronic storage is 100% secure. You use the Service at your own risk.

8.1 Safety Features

We provide various safety features including user verification, background checks (for paid subscribers), and reporting tools. However, these features do not guarantee the safety or trustworthiness of any user.

8.2 User Responsibility

You are solely responsible for your interactions with other users and any meetings arranged through the Service. We strongly recommend meeting in public places initially and trusting your instincts about other users.

8.3 Background Checks

Background checks, where available, are provided by third-party services and may not be complete or current. They should not be your sole basis for trusting another user.

9.1 Service Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MY PLAY PALZ, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT of YOUR USE OF THE SERVICE.

9.3 User Interactions

WE ARE NOT RESPONSIBLE FOR THE CONDUCT OF ANY USER OR FOR ANY HARM RESULTING FROM INTERACTIONS BETWEEN USERS, WHETHER ONLINE OR OFFLINE. YOU ASSUME ALL RISKS ASSOCIATED WITH MEETING OR INTERACTING WITH OTHER USERS.

You agree to indemnify, defend, and hold harmless My Play Palz, LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses arising out of or relating to your use of the Service, your User Content, or your violation of these Terms.

11.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in the app.

11.2 Termination by Us

We may suspend or terminate your account immediately without notice if you violate these Terms, engage in inappropriate conduct, or for any other reason at our sole discretion.

11.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. We may delete your account and all associated data, though some information may be retained as required by law or for legitimate business purposes.

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

12.2 Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court, except that you may assert claims in small claims court if your claims qualify.

12.3 Class Action Waiver

You agree that any arbitration shall be conducted in your individual capacity only and not as a class action or other representative action.

13.1 Apple App Store

If you downloaded the App from the Apple App Store, these additional terms apply:

• Apple is not a party to these Terms and is not responsible for the App or its content
• Apple has no obligation to furnish maintenance or support services for the App
• In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App
• Apple is not responsible for addressing any claims you have relating to the App
• You represent that you are not located in a country that is subject to a U.S. Government embargo

13.2 Google Play Store

If you downloaded the App from Google Play, you agree to use the App in accordance with Google Play's Terms of Service and you acknowledge that Google is not liable for any damages arising from your use of the App.

14.1 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

14.2 Entire Agreement

These Terms, together with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and My Play Palz regarding the use of the Service.

14.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights under these Terms without restriction.
